1. About Truso
Truso is a curated B2B marketplace operated by Truso Marketplace, a sole proprietorship with Udyam Registration Number UDYAM-KR-03-0692590.
Truso connects buyers with verified suppliers across India. Categories include packaging, raw materials, fabrication, chemicals, hotel & kitchen supplies, auto parts, and adjacent categories — covering manufacturers, traders, and industrial suppliers. The Platform serves buyers across industrial procurement, hospitality, trading, contracting, and MSME operations. Truso operates as a managed marketplace: our operations team curates supplier profiles, performs verifications, and assists buyers and suppliers throughout transactions.
2. Lines Truso will not cross
The following commitments are binding on Truso for as long as these Terms are in effect. They hold today and as the Platform grows.
3. Eligibility
You may use Truso if:
- You are 18 years or older and competent to contract under the Indian Contract Act, 1872.
- You are accessing the platform on behalf of a registered business or as a buyer for legitimate commercial purposes.
- You are not barred from using the platform under any applicable law.
We may, at our discretion, suspend or terminate accounts that violate these requirements.
4. Accounts
Truso recognises three types of accounts:
- Buyer accounts — to search, save suppliers, message suppliers, and book services.
- Supplier accounts — claimed by suppliers to manage their profile, products, and respond to buyer messages.
- Team accounts — internal Truso operators.
You are responsible for keeping your account credentials confidential. If you suspect unauthorised use, contact us at support@truso.co.in. You may close your account at any time using the self-service deletion option in your account settings or by emailing us.
5. Using Truso
For buyers:
- Searching, browsing, saving suppliers, and messaging is free.
- Booking a sample, inspection, or transport may incur charges; pricing is shown at the time of booking.
- We will not share your contact details with suppliers other than the one you specifically choose to contact.
For suppliers:
- Profile listing is free. We do not require suppliers to subscribe to be listed.
- Suppliers cannot pay to influence search ranking position. Truso does not offer paid placement of organic search results, paid verification badges, or paid ranking improvements.
- Where Truso offers paid services to suppliers, terms and pricing are disclosed within the supplier dashboard before any charge applies.
6. Verification
We make best efforts to verify suppliers through document checks, public-source review, and where applicable, physical visits and inspection videos. Verification status is displayed on each supplier's profile. Verification is a snapshot at a point in time; it does not guarantee future supplier behaviour or product quality. Buyers should still exercise due diligence — particularly for high-value transactions.
7. Unclaimed profiles
Some Listings on the Platform may have been created by Truso based on publicly available information about a business, prior to the business actively engaging with Truso ("Unclaimed Profiles"). Such Listings carry a clear "Unclaimed" indicator and offer the business owner two options:
- Claim This Profile: the business owner verifies their association with the Listing and assumes management of it.
- Request Removal: the business owner requests deletion of the Listing.
We honour verified removal requests within 48 hours of receipt. To submit a removal request, email grievance@truso.co.in from a contact channel that can be reasonably associated with the listed business.
8. Paid services
Truso operates certain services on a paid basis. Pricing, terms, and applicability are disclosed within the relevant flow before any charge is applied. Payments to Truso are processed in INR through licensed payment service providers. Where applicable, GST is added to the displayed price as required by law.
Refunds, where applicable, are processed to the original payment instrument and are governed by the specific service's refund policy disclosed at the time of booking.
Truso reserves the right to update pricing, introduce new paid services, or discontinue existing ones, with prospective effect. Existing balances and committed services will be honoured on the terms applicable at the time of purchase.
9. Communication
By creating an account, you agree to receive transactional notifications via WhatsApp, email, or SMS, strictly tied to actions you initiate (sign-in OTPs, booking confirmations, callback acceptances, quote responses).
We do not send unsolicited marketing messages. We send marketing or category-update messages only to users who explicitly opt in. We do not sell or share your contact details with suppliers you have not chosen to contact.
You may stop receiving messages by replying STOP on WhatsApp, contacting us at grievance@truso.co.in, or closing your account.
10. Acceptable use
You agree not to:
- Misrepresent your identity or business affiliation.
- Use the platform to harass, defraud, or harm any other user.
- Scrape, copy, or systematically extract content (search results, supplier listings, prices) without our written permission.
- Upload content that infringes intellectual property, defames any person, or violates Indian law.
- Use the service for unlawful purposes (counterfeit goods, prohibited items, money laundering, etc.).
- Interfere with the technical operation of the platform (rate-limit bypass, authentication bypass, etc.).
- Submit fake reviews, ratings, or recommendations.
- Post or transmit content that is defamatory, obscene, infringing, or otherwise objectionable as defined under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
We may suspend or terminate accounts that violate these terms.
11. Intellectual property
Truso platform and brand: The Truso name, logo, design, and software are owned by Truso Marketplace and protected by Indian copyright and trademark law. The "Truso" trademark application is pending in India.
Your content: When you upload product photos, descriptions, or other content as a supplier, you retain ownership but grant Truso a non-exclusive, worldwide, royalty-free licence to display, distribute, and adapt that content for the operation of the platform (e.g., showing your product in search results, generating an AI summary of your listing).
12. Intermediary status
Truso is an "intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000, and operates the platform in compliance with the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We do not initiate the transmission, select the receiver, or modify the information contained in third-party content beyond the curation and presentation activities necessary to operate the platform. Our liability in respect of third-party content is limited as provided under Section 79 of the IT Act, 2000 and applicable rules.
13. Disclaimers
The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that:
- Search results are complete or perfectly relevant.
- Verified information is current at the moment you view it.
- Suppliers will perform any specific transaction.
- The platform will be uninterrupted or error-free.
14. Limitation of liability
To the maximum extent permitted by law, Truso Marketplace and its operators are not liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, business opportunity, or goodwill.
- Disputes between buyers and suppliers (we are not party to such transactions).
- Damages arising from a supplier's products, services, or conduct.
Our total aggregate liability for any claim arising from your use of the platform shall not exceed the greater of:
- ₹10,000 (ten thousand rupees), or
- The total fees you have paid to Truso in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold Truso Marketplace harmless from any claim, loss, or damage (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your misuse of the platform.
- Content you upload that infringes a third party's rights.
- Any transaction you enter into through the platform.
16. Termination
You may close your account at any time using the self-service deletion option or by contacting support@truso.co.in. We may suspend or terminate your account for breach of these Terms, fraud, or to comply with law.
Upon termination:
- Your access to the platform ceases.
- Your data is handled per the Privacy Policy retention rules.
- Outstanding obligations (e.g., disputes with suppliers, financial-record retention under Indian law) survive termination.
- Sections that by their nature should survive termination — including Sections 11, 13, 14, 15, 18, and 20 — will survive.
17. Changes to the service or these Terms
We may modify the platform or these Terms at any time. For material changes to Terms, we will notify you via your registered channel. Continued use after the effective date constitutes acceptance.
18. Force majeure
Truso shall not be liable for any failure to perform, or delay in performing, any obligation under these Terms where such failure or delay is caused by events beyond our reasonable control. Such events include, without limitation: acts of God, natural disasters, fire, flood, earthquake, epidemic or pandemic, war, civil unrest, terrorism, governmental order or action, change in law, strike, labour dispute, internet or telecommunications outage, denial-of-service attack, failure of third-party service providers (including hosting, payment, and messaging providers), and any other event of force majeure recognised under Indian law. During such events, our obligations are suspended for the duration of the event and a reasonable period thereafter to restore normal operations.
19. Governing law, arbitration & dispute resolution
19.1 Governing law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
19.2 Mandatory pre-arbitration grievance step
Before initiating any formal dispute, you must first contact our Grievance Officer (Section 21) in writing and allow Truso thirty (30) days from receipt of the notice to attempt amicable resolution. This step is mandatory and may not be skipped.
19.3 Binding arbitration
If a dispute is not resolved through Section 19.2, all disputes, claims, controversies or differences arising out of, in connection with, or in relation to these Terms, the Privacy Policy, or your use of the platform — including the existence, validity, interpretation, performance, breach, or termination thereof — shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.
- Seat and venue: Bengaluru, Karnataka, India.
- Language: English.
- Number of arbitrators: One (1) sole arbitrator, to be appointed by Truso. If you object in writing within 14 days of nomination, the arbitrator shall be jointly appointed; failing agreement within a further 14 days, appointment shall be by the competent court at Bengaluru on application by either party.
- Costs: Each party shall bear its own costs and an equal share of the arbitrator's fees, unless the award provides otherwise.
- Award: The arbitral award shall be final and binding on the parties.
19.4 No class or representative actions
You agree to bring claims against Truso only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
19.5 Exclusive court jurisdiction
For matters that are not arbitrable under Indian law, or for interim relief in aid of arbitration, the parties submit to the exclusive jurisdiction of competent courts at Bengaluru, Karnataka.
19.6 Consumer redressal
Nothing in this Section 19 shall prevent a "consumer" (as defined under the Consumer Protection Act, 2019) from approaching the appropriate consumer redressal forum where the law mandates such forum's jurisdiction.
20. General
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
- Entire agreement: these Terms (together with the Privacy Policy) constitute the entire agreement between you and Truso regarding the platform.
- No waiver: our failure to enforce any provision is not a waiver of that provision.
- Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of business.
- Notices to Truso: any notice under these Terms must be sent to support@truso.co.in.
